London Stock Exchange Group has agreed to acquire credit-intelligence provider Octus for $3.535 billion, subject to the transaction’s completion.

The target is information, not another exchange

London Stock Exchange Group announced on October 22 that it had agreed to acquire Octus for $3.535 billion in cash, according to its market filing. Octus provides credit intelligence, data and workflow tools, including coverage of private and less liquid debt. The move strengthens LSEG’s role as a supplier of specialist financial information rather than simply an operator associated with stock trading.

An acquisition agreement is not evidence that ownership has already transferred. LSEG said the transaction would be financed with external debt and remains subject to the relevant steps and conditions. That distinction matters to investors and customers who might otherwise treat the transaction as completed.

Why private credit data is valuable

In markets where loans or securities trade infrequently, reliable prices and comparable risk information can be difficult to obtain. LSEG sees value in combining Octus’s proprietary intelligence and analytical workflows with its wider distribution and fixed-income products.

The company expects the combination to provide customers with more integrated tools for researching deals and assessing risk. Those are forward-looking business claims, not verified improvements already experienced by every client.

The next milestones

The completion timetable, regulatory processes where applicable and product integration remain important. The proposed London Stock Exchange photograph is an archival representation of the group, not a photograph of the agreement being signed.
